By accessing or using UtterNote, you agree to be bound by these Terms of Service. If you do not agree, you may not use the service. We reserve the right to modify these terms at any time, and your continued use constitutes acceptance of any changes.

2. Account Registration

To use UtterNote, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.

3. Acceptable Use

You agree not to use UtterNote to:

• Upload content that infringes on intellectual property rights
• Process content that is illegal, harmful, or violates any applicable law
• Attempt to reverse engineer, hack, or disrupt the service
• Use the service for automated scraping, data harvesting, or spam
• Share your account credentials with unauthorized third parties

4. Intellectual Property

The UtterNote platform, including its design, code, features, and branding, is owned by UtterNote and protected by intellectual property laws. Your use of the service does not grant you any ownership rights to the platform itself.

5. Content Ownership

You retain full ownership of all content you upload to UtterNote, including audio files, video files, transcriptions, and generated guides. By using our service, you grant us a limited license to process your content solely to provide the transcription and guide generation services. We do not claim ownership of your content or use it for any other purpose.

6. Service Availability

We strive to provide reliable, uninterrupted service but do not guarantee 100% uptime. UtterNote may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

7. Limitation of Liability

To the fullest extent permitted by law, UtterNote and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim.

8. Termination

You may close your account at any time. We reserve the right to suspend or terminate your account if you violate these terms. Upon termination, your right to use the service ceases immediately. We will retain your data for 30 days after termination to allow for data export, after which it will be permanently deleted.

9. Governing Law

These terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or your use of UtterNote shall be resolved through binding arbitration in accordance with applicable arbitration rules.

10. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or a prominent notice on the platform. Your continued use of UtterNote after changes take effect constitutes acceptance of the revised terms.
